Introduction

Welcome to Fourbs Group Pty. Ltd.'s Standard Terms and Conditions. This document provides a comprehensive outline of the general terms governing our services. These terms apply to all projects undertaken by Fourbs Group Pty. Ltd. (ABN 43 665 025 365) and are intended to supplement any specific agreements or contracts. We reserve the right to modify these terms at our discretion, without prior notice.


1. Acceptance of Terms

1.1 Acceptance Procedure

Clients may accept a quotation through various legally recognized mediums including digital acceptance via Xero, oral communication, electronic mail, or SMS. Acceptance of the quotation signifies the client's agreement to adhere to these terms and conditions.

Please note that by accepting these terms, you also acknowledge and agree to our Privacy Policy, which outlines how we handle and protect your personal information.

1.2 Scope of Agreement

Upon acceptance, the terms outlined herein, along with any specific contract terms, constitute a binding agreement between Fourbs Group Pty. Ltd. and the client.


2. Financial Terms

2.1 Deposit Requirements

For projects involving materials exceeding AUD $2,000 in value, a deposit equal to the full cost of these materials is required prior to the commencement of services, unless otherwise agreed in writing.

2.2 Payment Terms

Payment is due immediately upon completion of services and receipt of the final invoice, except when an alternative payment arrangement is agreed upon in writing.

2.3 Overdue Invoices

Pursuant to this agreement, Fourbs Group Pty. Ltd. reserves the right to charge interest on any invoiced amount that remains unpaid for more than thirty (30) days past its due date. Interest will be calculated at the prevailing rate for pre-judgment interest prescribed by the Uniform Civil Procedure Rules 2005 (NSW), which is the Reserve Bank of Australia (RBA) Cash Rate Target plus 4%. Interest will be calculated daily and may be compounded monthly at our discretion..


3. Post-Installation Support & Training

3.1 Complimentary Support Period

To ensure clients are comfortable and proficient with their new installation, Fourbs Group provides a complimentary support period of three (3) months, commencing from the official date of project completion.

3.2 Scope of Support

During this period, we will provide reasonable remote assistance via phone or email to address any questions or issues regarding the use of the installed system(s). Should an issue not be resolvable remotely, we will, at our discretion, conduct one (1) complimentary on-site visit.

3.3 Exclusions

This complimentary support does not cover issues arising from misuse, neglect, unauthorized modification of the system, or changes to the client's existing infrastructure (e.g., new internet provider, network changes) that were not part of the original scope of work. This policy is distinct from and supplementary to our Workmanship Warranty and any applicable manufacturer warranties.


4. Price Matching

Fourbs Group Pty. Ltd. aims to offer competitive pricing. A bona fide written quotation for an identical scope of work and materials from a reputable competitor will be matched by us. This is subject to our ability to procure equivalent materials and verification of the competitor's quotation.


5. Cancellation Policy

Cancellations made after quotation acceptance but prior to the commencement of on-site services may incur a fee of 25% of the total materials cost. This fee is to cover restocking, supplier, and administrative expenses associated with the cancellation.


6. Force Majeure

6.1 Definition

"Force Majeure" refers to unforeseeable events beyond Fourbs Group's reasonable control that impede our ability to fulfill contractual obligations. Such events may include, but are not limited to, acts of God, war, terrorism, pandemics, or significant supply chain disruptions.

6.2 Suspension of Obligations

Our obligations are suspended for the duration of the Force Majeure event. We will notify the client of the nature and cause of the delay and will resume performance as soon as reasonably possible.

6.3 Termination Clause

If a Force Majeure event continues for a period exceeding sixty (60) consecutive days, either party may terminate the agreement by providing written notice to the other.


7. Liability and Insurance

Fourbs Group Pty. Ltd. holds current Professional Indemnity Insurance and Public and Products Liability Insurance. Our liability in connection with the services provided is limited to the extent of our coverage under these policies. We are not liable for any indirect or consequential loss.


8. Dispute Resolution

8.1 Initial Resolution Efforts

In the event of a dispute, the parties agree to first attempt to resolve it through good faith negotiations.

8.2 Mediation and Arbitration

If mutual resolution is not achieved within thirty (30) days, the dispute shall be submitted to mediation. If mediation is unsuccessful, it shall be resolved by binding arbitration administered by the Australian Centre for International Commercial Arbitration (ACICA) in accordance with its rules.

8.3 Governing Law

These terms and any dispute arising from them are governed by the laws of New South Wales, Australia.


9. Warranties

9.1 Workmanship Warranty

We provide a lifetime warranty on the workmanship of our installations. This covers the quality and standard of the physical labour performed by our technicians. For detailed information, please refer to our separate Workmanship Warranty document.

9.2 Manufacturer's Warranty

All materials and products supplied are covered by their respective manufacturer's warranties. We will facilitate any warranty claims on behalf of the client as per the Australian Consumer Law (ACL).


10. Changes to This Policy

Fourbs Group Pty. Ltd. may revise these terms and conditions at any time. The most current version will be available on our website, and the effective date will be noted at the top of the document.
